Maple Platform Terms of Use (User Agreement)
Maple last updated the Terms of Use (User Agreement) (“Terms“) on July 5, 2022. We post the current version of the Terms at www.getmaple.ca/terms. We reserve the right to amend the Terms at any time to account for changes in applicable law and regulations, our services, our practices, and/or the Maple Platform. Please check to see if we have amended these Terms since you last used the Maple Platform. We may but are not obligated to post notice of amendments. By using the Maple Platform or participating in any Maple Programs after the amendment of these Terms, you are agreeing to comply with and be bound by the amended Terms.
A. The Maple Platform and Services.
Maple Corporation (“Maple“, “we“, “us“) owns and operates an information technology platform consisting of applications, websites, content, products and services (collectively referred to as the “Maple Platform“). The Maple Platform enables registered users (“Users“, “you“, “your“) to access telehealth services provided by healthcare providers registered to practice in a province or territory of Canada (collectively, “Authorized Providers“) and certain other health-related services. Telehealth is healthcare delivered through interactive text, audio and/or video technology, where the patient and the healthcare provider are not in the same physical location (telehealth services provided through the Maple Platform are referred to in these Terms collectively as “Healthcare Services“). The Maple Platform also enables Users to store certain personal and personal health information (collectively “PHI“), share their PHI with Authorized Providers, electronically receive and store prescriptions, sick notes and other documents. In addition, Maple provides optional services at a User’s direction. Those services include Maple securely faxing a summary of the User’s consultations with Authorized Providers to a healthcare provider of the User’s choice, securely faxing prescriptions to the User’s pharmacy of choice, providing notice when the User’s prescription is ready for pick-up, opening an account for Users with a prescription delivery service, and where available, securely transmitting User information to a prescription delivery service. Maple may make additional optional services available to Users from time to time.
B. Eligibility.
In order to open an account to use the Maple Platform (“M-Account“), you must:
- be at least 18 years of age, be associated with and meet the age and other eligibility requirements established by an institutional client of Maple (see Section O(3), “Third Party Payment/Coverage”) and be registered by that client (for example, international students in Canada whose User fees are paid by an insurance provider registered with Maple);
- be a temporary or permanent resident of a province or territory of Canada (“Residency Requirements“); and
- register with Maple.
Users may register individuals for whom they have the legal right to make healthcare decisions (“Registered Dependents“) and use the Maple Platform on their behalf. Users are required to create a separate “profile” for each Registered Dependent, which includes his or her name and other personal information. Where you are using the Maple Platform on behalf of Registered Dependents, the terms “you” and “your” in these Terms include those Registered Dependents. For clarity, nothing in these Terms requires Maple to accept any registrant as a User, notwithstanding that the registrant meets Maple’s eligibility requirements as amended from time to time. Supplementary Terms specific to certain users may also apply. Supplementary Terms are incorporated into and become part of these Terms.
C. Agreement with Maple.
These Terms govern Users access to and use of the Maple Platform. On acceptance by a User, these Terms constitute a binding agreement between Maple and the User. These Terms also govern a User’s participation in Maple’s Referral Program, Gift Card Program, and the Purchasing Credit Program (collectively “Maple Programs“). By clicking on the “I accept” button below, you are agreeing to these Terms. If you do not agree to these Terms at any point, you must not, or must immediately cease accessing the Maple Platform and participating in any Maple Programs.
D. User representations and warranties.
You represent and warrant (promise) to Maple and acknowledge that Maple is relying on your representations and warranties that:
- you and your Registered Dependents meet the Residency Requirements and will continue to do so at the point in time that you request and that Healthcare Services are provided;
- you are authorized to act for your Registered Dependents and more particularly to make decisions regarding their healthcare; and
- you will use the Maple Platform solely for your personal and non-commercial use.
E. Nature and Scope of Healthcare Services
- Authorized Providers, Relationship with User. Only regulated health professionals may provide Healthcare Services. Authorized Providers may be Authorized Physicians or Authorized Non-Physician Providers. Authorized Physicians are physicians registered to practice medicine in at least one province or territory of Canada. Authorized Non-Physician Providers are regulated health professionals other than physicians (such as psychotherapists or nurses) registered to practice their profession in a province or territory of Canada.
- Telehealth licensing requirements. Each province and territory of Canada has its own rules about who may practice telehealth and the conditions for doing so. Depending on the rules in the province or territory in which you reside, Authorized Providers may not be located in your province or territory of Canada when delivering Healthcare Services to you. We display the jurisdiction in which Authorized Providers are located when we connect you to them for a consultation. In some cases, the information is available on our website. If you would like more information, please consult the regulator (generally referred to as the “College” of a regulated health profession, for example the “College of Physicians and Surgeons”) of which the Authorized Provider is a member. Most if not all health profession regulators in Canada maintain a register of their members accessible through their website.
- Not a Replacement for Primary Care. Healthcare Services do not take the place of appointments with your regular primary care provider. If you do not have a primary care provider, we encourage you to find one. Maple does not provide your primary care provider with a report of the Healthcare Services that you receive. We strongly recommend that you at least notify your primary care provider that you received, and the reason for which you received Healthcare Services so that your primary care provider can take them into account, including any medications prescribed for you. Your primary care provider may ask you to describe what the Authorized Provider found. To assist you in providing that information, the Maple Platform enables you to send a summary of your Healthcare Services to the healthcare provider of your choice.
F. Healthcare Services Terms of Use.
As a term and condition of receiving Healthcare Services, YOU ACKNOWLEDGE AND AGREE TO THE FOLLOWING.
- The Maple Platform is a technology platform that facilitates connecting Users (and any Registered Dependents) with Authorized Providers for the provision of Healthcare Services. While Maple facilitates access to Healthcare Services provided by Authorized Providers, it is not registered to provide Healthcare Services and does not do so as more particularly described below.
- Authorized Providers are independent contractors who have chosen to use the Maple Platform to provide Healthcare Services. Authorized Providers are not employees or otherwise acting on behalf of Maple in providing Healthcare Services. The relationship between you and an Authorized Provider providing you Healthcare Services is a health professional-patient relationship to which Maple is not a party.
- AUTHORIZED PROVIDERS ARE SOLELY RESPONSIBLE FOR THE HEALTHCARE SERVICES THAT THEY PROVIDE TO YOU, INCLUDING COMPLIANCE WITH STANDARDS OF CARE, RECORD-KEEPING AND OTHER PROFESSIONAL OBLIGATIONS AND COMPLIANCE WITH PRIVACY LAW.
- As the rules regarding telehealth differ (or may differ from time to time), among the provinces and territories, the Healthcare Services that are available to you will depend on your province or territory of residence and the location you are in at the time you request the services.
- You will only request Healthcare Services for you or for your Registered Dependents.
- As with any other healthcare consultation, no results can be guaranteed or assured in connection with Healthcare Services. Your Authorized Provider may determine Healthcare Services are not appropriate for some or all of your treatment needs or that he or she is not permitted to provide the services you require and may elect not to provide Healthcare Services to you. Authorized Providers also have the discretion to discontinue the provision of Healthcare Services to you at any time and for any reason.
- You are responsible for providing the Authorized Provider with the information that he or she advises is required in order to provide you with Healthcare Services. If you decline to provide that information, the Authorized Provider may not be able or willing to provide you with Healthcare Services.
- As with any other health care service, there are risks associated with the use of the Healthcare Services. In addition to any risks communicated to you by your Authorized Provider, there are risks unique to telehealth, which include that the Maple Platform may not permit the transmission of information in a way that allows the Authorized Provider to provide Healthcare Services (for example, due to poor resolution of images). Other risks of the use of electronic means to transmit and store information are described in Maple’s Privacy Policy, which forms part of these Terms and is posted at www.getmaple.ca/privacy (“Privacy Policy“).
- THE MAPLE PLATFORM CANNOT BE USED FOR EMERGENCY HEALTHCARE. IF YOU BELIEVE THAT YOU ARE DEALING WITH AN EMERGENCY, YOU WILL CALL 911 IMMEDIATELY OR ATTEND YOUR NEAREST EMERGENCY ROOM.
- The following symptoms are NOT eligible to be treated through the Healthcare Services: chest pains; difficulty breathing; fever in children under the age of 3 months; blackouts or feeling like you may blackout; any impairment in level of consciousness; stroke like symptoms such as impaired sensation or paralysis to one side of your body; inability to speak or comprehend language; any abdominal pain severe enough that you are unable to comfortably walk.
- Unless they have an ongoing treating relationship with you, Authorized Providers are NOT permitted to prescribe certain kinds of medication including narcotics, controlled substances or other types of controlled medications, non-therapeutic drugs and other drugs, which may be harmful because of their potential for abuse.
- ANY PRESCRIPTIONS YOU ACQUIRE FROM AN AUTHORIZED PROVIDER ARE SOLELY FOR THE PERSONAL USE OF THE INDIVIDUAL NAMED ON THE PRESCRIPTION. YOU WILL FULLY AND CAREFULLY READ ALL PROVIDED PRODUCT INFORMATION AND LABELS, AND TO CONTACT A PHYSICIAN OR PHARMACIST IF YOU HAVE ANY QUESTIONS REGARDING THE PRESCRIPTION OR MEDICATION.
- You will not report drug reactions, side effects or adverse events through the Maple Platform. You will report any medication reactions, side effects or other adverse events to your primary care provider, or if you do not have one, to the nearest walk-in clinic or emergency room, or in an emergency, call 911.
- You will seek emergency help or follow-up care when recommended by an Authorized Provider.
G. Technology-related Terms.
As a term and condition of using the Maple Platform, YOU ACKNOWLEDGE AND AGREE TO THE FOLLOWING.
- You are prohibited from and will not:
- remove or alter any copyright, trademark, brand elements or other proprietary notices;
- reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Maple Platform except as expressly permitted by Maple;
- decompile, reverse engineer or disassemble the Maple Platform;
- link to, mirror or frame any portion of the Maple Platform;
- cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the Maple Platform, or unduly burdening or hindering the operation and/or functionality of any aspect of the Maple Platform;
- attempt to gain unauthorized access to or impair any aspect of the Maple Platform, or its related systems or networks;
- impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity;
- use the Maple Platform in a manner that violates any laws.
- You will:
- keep secure and not disclose to anyone your M-Account username and password; and
- refrain from using abusive language or inappropriate conduct when communicating with anyone through the Maple Platform, including Authorized Providers.
- You will not contact Authorized Providers in respect of Healthcare Services except through the Maple Platform. For clarity, Maple has no interest in or control over any interaction that you may have with Authorized Providers that is unrelated to Healthcare Services or your use of the Maple Platform.
- Unless otherwise permitted by Maple in writing, you may only have one M-Account.
- You are responsible for all activity that occurs under your M-Account.
H. Business Terms.
As a term and condition of using the Maple Platform, YOU ACKNOWLEDGE AND AGREE TO THE FOLLOWING.
- Like certain other health professional services, Healthcare Services are provided for a fee. The fees for Healthcare Services are only for services that are not covered by the health plan of your province or territory of residence (“Plan“).
- You will be charged a fee for any Healthcare Services you receive from an Authorized Provider, unless the fee is paid by a third party payer (for example, your employer or insurer) that has entered into an agreement with Maple.
- You will pay all applicable fees as further described in Section P below and as amended from time to time. We encourage you to contact us if you have questions about fees charged for Healthcare Services.
I. Privacy.
PHI you provide to Authorized Providers is collected by the Authorized Providers, as explained in the Privacy Policy. The Privacy Policy also describes Maple’s collection, use, disclosure, retention, and destruction of PHI. As the Privacy Policy forms part of these Terms, it is essential that you review the Privacy Policy prior to agreeing to these Terms.
J. Termination, Effect of Termination.
On notice to you, Maple may immediately, at any time and for any reason, terminate your access to the Maple Platform and/or your participation in any Maple Programs, or cease providing the Maple Platform or any portion of the Maple Platform and/or any Maple Programs. Maple has the right to select the means by which it gives you notice. These Terms will continue to apply so long as you continue to have access to the Maple Platform or participate in any Maple Programs, notwithstanding that you or Maple choose to terminate your use of one but not both (or only a portion) of the Maple Platform and Maple Programs. On termination of your M-Account, Maple will have no further obligation to provide you with access to the Maple Platform, except to the extent that Maple has an obligation to provide you with access to your PHI. You may close your Account at any time, for any reason, by logging in to your M-Account at https://app.getmaple.ca/login. Our management of your PHI on the closure of your M-Account is described in the Privacy Policy.
K. Ownership (Intellectual Property Rights).
The Maple Platform, all content and rights therein, except PHI, are and will remain Maple’s property or the property of Maple’s licensors. Neither these Terms nor your use of the Maple Platform convey or grant to you any rights to use or reference in any manner Maple’s brand elements, company name, logo, product and service names, trademarks or services marks or those of Maple’s licensors. You are not permitted to copy or otherwise reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any Content (as defined below), except as expressly permitted by these Terms.
L. Content.
None of the information or materials (collectively, “Content”) available through the Maple Platform with the exception of Healthcare Services is health professional advice, treatment, diagnosis or an endorsement, representation or warranty that any particular medication or treatment is safe, appropriate, or effective for you. Content is for informational purposes only. It is your responsibility to discuss any Content with your primary care provider or another qualified healthcare provider prior to relying on it, and any reliance on Content is at your own risk. Content and material appearing on the Maple Platform could include technical, typographical or photographic errors. Maple does not warrant that any of the materials provided are accurate or current.
M. Disclaimer.
THE MAPLE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” MAPLE DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, NOT EXPRESSLY SET OUT IN THESE TERMS, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. IN ADDITION, MAPLE MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY OR AVAILABILITY OF THE SERVICES REQUESTED THROUGH USE OF THE MAPLE PLATFORM, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. MAPLE DOES NOT GUARANTEE THE QUALITY, SUITABILITY OR SAFETY OF HEALTHCARE SERVICES AND YOU AGREE TO ASSUME ALL RISK ARISING OUT OF YOUR USE OF THE MAPLE PLATFORM, AND ANY RISK RELATED TO THE HEALTHCARE SERVICES. YOU ASSUME ALL RISK ARISING OUT OF YOUR USE OF ANY MAPLE PROGRAM AND ARE SOLELY RESPONSIBLE FOR ENSURING THAT ANY REFERRAL YOU MAKE TO MAPLE IS MADE IN COMPLIANCE WITH ANY APPLICABLE LAW, INCLUDING WITHOUT LIMITATION CANADA’S ANTI-SPAM LEGISLATION (CASL).
N. Limitation of Maple’s Liability.
- MAPLE, (WHICH IN THIS SECTION N INCLUDES ITS DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, AFFILIATES, AGENTS AND INDEPENDENT THIRD PARTY CONTRACTORS) SHALL NOT BE LIABLE FOR ANY DAMAGES, LIABILITY OR LOSSES ARISING OUT OF: (i) YOUR USE OF OR RELIANCE ON THE MAPLE PLATFORM AND/OR HEALTHCARE SERVICES, OR YOUR INABILITY TO ACCESS OR USE THE MAPLE PLATFORM AND/OR HEALTHCARE SERVICES OR ANY DELAY IN YOUR DOING SO; OR (ii) ANY TRANSACTION OR RELATIONSHIP BETWEEN YOU AND ANY AUTHORIZED PROVIDER., MAPLE IS NOT LIABLE FOR YOUR INFORMATION STORED OR RECORDED BY ANY COMPUTER, TABLET, MOBILE DEVICE OR ANY NETWORK, WHETHER PUBLIC OR PRIVATE, THAT YOU MAY USE TO ACCESS THE MAPLE PLATFORM.
- WITHOUT LIMITING THE GENERALITY OF THE PRECEDING, UNDER NO CIRCUMSTANCE WILL MAPLE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING PROFESSIONAL NEGLIGENCE, PERSONAL INJURY, LOST INCOME OR LOST DATA, RELATED TO, IN CONNECTION WITH, OR OTHERWISE RESULTING FROM ANY USE OF THE MAPLE PLATFORM AND/OR HEALTHCARE SERVICES PROVIDED BY AUTHORIZED PROVIDERS.
O. Indemnity.
You agree to indemnify and hold Maple (which in this Section includes its directors, officers, employees, agents and shareholders) harmless from any and all claims, demands, losses, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with: (i) your use of the Maple Platform and Healthcare Services obtained through your use of the Maple Platform; (ii) your breach or violation of any of these Terms; or (iii) your violation of the rights of any third party, including Authorized Providers, other Users, any person on whose behalf you request Healthcare Services, and/or referred friends. Through the Maple Platform, you may use certain services that are not provided by Maple and that we identify to you for your convenience, for example, prescription delivery services. To the extent that a service is not provided by Maple, you will be given notice prior to using that service, and if you elect to proceed, you acknowledge and agree that you will be contracting with the service provider and not Maple.
P. Fees, Payment Options.
The following are the payment options used by Maple. Not all options are available to all Users.
- Pay-per-visit option. You may pay the fees for Healthcare Services (“Fees“) at the time you request Healthcare Services. Maple requires you to submit credit card information prior to the provision of any Healthcare Services for the purpose of validation of the card. You will not be able to begin accessing Healthcare Services through the Maple Platform if the credit card information you provide is inaccurate and/or if your credit card is declined at the point of validation. You agree that Maple, on behalf of Authorized Providers, may validate your credit card and put a hold on it in the amount of the Fees. Maple will notify you of any applicable Fees and will only have the charge processed to your credit card after you have obtained the corresponding Healthcare Services. Maple will provide you with a receipt for the Fees you pay.
- Membership option. Maple may allow you to purchase access to certain specified Healthcare Services during a fixed membership term for a flat fee (“Membership Fee“). Maple will notify you of the applicable Membership Fee and the Healthcare Services that are covered by the Membership Fee in any given year, and will have the Membership Fee processed to your credit card before the first time you obtain Healthcare Services under your membership. For the duration of your membership, you will not be charged additional fees for any Healthcare Services covered by your membership. The only additional fees that would be charged to you would be for Healthcare Services that you request that are outside of your membership and accordingly not covered by your Membership Fee. For access to Healthcare Services not covered by your membership, you must use the pay-per-visit-option. Your membership will automatically renew until cancelled by you in the billing section of your M-Account settings. In the event of an increase in the Membership Fee, we will notify you in advance, and ask whether you want to continue your membership. Your Membership Fee is non-refundable, except where Maple terminates your access to the Maple Platform, in which case Maple will give you a pro rata refund of your Membership Fee. For clarity, Maple will refund the portion of your Membership Fee corresponding to the number of months remaining on your membership on the date of termination.
- Third Party Payment/Coverage. Maple may permit a third party (for example, an employer or insurer) to pay the Fees and/or Membership Fee, (the third party and Maple determine which of these payment options apply), for some or all Healthcare Services provided to a User or group of Users. In these circumstances, Maple has a contract with the third party under which the third party discloses personal information including the name, email address and other contact information of the User(s) for whom they will pay the Fees or Membership Fee for some or all Healthcare Services. Please consult our privacy policy for more information about the personal information we collect from third party payers. Maple is not a party to and has no control over the agreement between any User and third party payer. Coverage by a third party does not release a User from the obligation to comply with these Terms except the Terms related to his or her direct payment of the Fees or Membership Fee. As above, supplementary terms may apply to Users who have third party coverage. Maple will inform Users of any changes to or termination of their third party coverage. Users whose third party coverage is terminated may be given the option of continuing to use the Maple Platform under their existing M-Account so long as they pay the Fees or Membership Fee.
- Administration of Fees Paid to Authorized Providers. We charge Authorized Providers a service fee for using the Maple Platform, which we deduct from the fees paid for Healthcare Services, which accrue to Authorized Providers. Maple facilitates payment of the fees to Authorized Providers. Payment of the fees through the credit card validation and processing arrangement described above will be considered the same as payment made directly to the Authorized Provider.
- Currency, Taxes. All fees for Healthcare Services are in Canadian dollars and inclusive of all applicable taxes.
Q. Maple Referral Program, Maple Purchasing Credit Program, Maple Gift Card Program.
The Maple Referral Program allows certain Users to earn credits towards future Fees (“Maple Referral Credits“) by referring friends to Maple (as permitted under applicable law). Credits can also be purchased in exchange for cash directly through the Maple Platform as part of the Maple Purchasing Credit Program (“Maple Cash Credits“).
- How to earn Maple Referral Credits. Users can earn Maple Referral Credits if: (i) a referred friend clicks on the referral link sent to the friend to register for an M-Account and is given an M-Account; and (ii) the referred friend provides and verifies his or her email address and phone number as part of the Maple registration process. The referring User will be credited with Maple Referral Credits in the amount described in the Credits section of the User’s M-Account settings. There is no maximum amount of credits a User can earn.
- Redeeming Maple Referral Credits and Maple Cash Credits. Maple Referral Credits and Maple Cash Credits will automatically appear as a coupon on the checkout page at any time Fees are due for Healthcare Services. Maple Referral Credits must be used within 24 months from the date they are issued. After 24 months, the Maple Referral Credits will expire. Maple Cash Credits do not expire. Maple Referral Credits and Maple Cash Credits may not be transferred or exchanged for any cash or money. Maple Referral Credits may not be earned by creating multiple M-Accounts. Maple Referral Credits and/or Maple Cash Credits accrued in separate M-Accounts may not be combined into one M-Account.
- Sharing invitations/referral links. Users may only share invitations to join Maple (by means of a referral link in the invitation) for personal and non-commercial purposes, and only with personal connections who the User has reason to believe will appreciate receiving an invitation. Users are prohibited from sending an invitation to a recipient who is not a family member or where there is no reasonable basis for believing that the recipient is a personal friend of the User. The Maple referral process does not send an electronic message from an electronic address. Users sharing invitations do so on their own behalf and not on behalf of Maple.
- Referred friends or family. Friends or family members referred to Maple will create an M-Account using a link in the invitation sent them by a User. The referring User will receive Maple Referral Credits towards Fees in an amount to be determined by Maple from time to time. The applicable credit amount and additional terms and conditions will be set out in the referral invitation or accompanying materials.
- Multiple referrals. A referred friend or family member may only use one referral link. If a referred friend or family member receives invitations from more than one User, only the User who sent the invitation with the referral link actually used by the referred friend or family member will receive Maple Referral Credits.
- Termination and Change. Maple may suspend or terminate the Referral Program or any User, referred friend or family member’s participation and/or right to participate in the Referral Program at any time for any reason. We reserve the right to suspend M-Accounts or remove Maple Referral Credits if we notice any activity that we believe is abusive or fraudulent. Maple has the right but not the obligation to monitor referral activities, and to suspend M-Accounts or modify referrals and Maple Referral Credits provided to a User as deemed fair and appropriate. Maple will not incur any liability or obligation by reason of exercising or not exercising its right to monitor, suspend, or modify referral activities and Maple Referral Credits.
R. General Provisions
Entire Agreement. These Terms constitute the entire agreement and understanding of Maple and you with respect to their subject matter, and replaces and supersedes all prior or contemporaneous agreements or undertakings regarding the subject matter.
Governing Law. These Terms are governed by the laws of Ontario and the laws of Canada applicable therein, excluding any conflict of laws that would lead to the application of any other laws. By accessing the Maple Platform, you agree that any disputes or matters arising from, connected with, or related to these Terms will be brought to the provincial and federal courts located in the City of Toronto, Ontario.

Maple is not responsible for the availability of such external websites or resources, does not endorse or accept responsibility for the content of such external websites or resources, and has no responsibility for or control over the terms of use or privacy policy of the operators of the external websites or resources. You access and view any third party websites or resources at your own risk. For clarity, Maple is not responsible even where we link you to those resources or refer you for your convenience.
Severability: If any provision in these Terms is held to be invalid, void, or unenforceable, such provision (or the part of it that is making it invalid, void or unenforceable) will be struck and not affect the validity of and enforceability of the remaining provisions.

Terms applicable only to individuals seeking services in the United States of America through Global Excel Management Inc. and RBC Bank U.S.
These terms and conditions of use (“Terms of Use”) govern your use of interfaces and properties (e.g., websites and mobile applications) licensed by Maple US Corporation including the www.getmaple.ca and www.getmaple.com websites (collectively, the “Site”), as well as the services (“Services”) and products (“Products”) available to users through the Site. Maple US Corporation (“Maple”, “we,” “us,” and “our”) contracts with Maple Medical Group, P.A. (“Maple Medical Group”) regarding online telehealth medical consultations and secure messaging between Maple Medical Group physicians and other healthcare professionals (individually the “Provider” and collectively the “Providers”) and their patients. (See Section 18 for supplemental terms applicable to Providers.) The professional medical services (which are provided by Maple Medical Group) and the non-clinical Site services (which are provided by Maple) are collectively referred to in this Terms of Use as the “Services”. The terms “you” and “your” means you, your dependent(s) if any, and any other person accessing your Maple Account.
Your acceptance of, and compliance with, these Terms of Use is a condition to your use of the Site and Services and purchase of Products. By clicking “Create your account”, you acknowledge that you have read, understand, and accept all terms and conditions contained within the Terms of Use, Notice of Privacy Practices and Privacy Policy. If you do not agree to be bound by these terms, you are not authorized to access or use this Site or Services; promptly exit this Site.
Binding Arbitration. These Terms of Use provide that all disputes between you and Maple that in any way relate to these Terms of Use or your use of the Site will be resolved by BINDING ARBITRATION. ACCORDINGLY, YOU AGREE TO GIVE UP YOUR RIGHT TO GO TO COURT (INCLUDING IN A CLASS ACTION PROCEEDING) to assert or defend your rights under these Terms of Use. Your rights will be determined by a NEUTRAL ARBITRATOR and NOT a judge or jury and your claims cannot be brought as a class action. Please review the Section below entitled Dispute Resolution; Arbitration Agreement for the details regarding your agreement to arbitrate any disputes with Maple.
Privacy Practices
You agree that information provided by you in connection with the Services and Site shall be governed by the Maple Privacy Policy which is hereby incorporated and made a part of this Agreement. You agree that information provided by you in connection with the Services shall also be governed by the Maple Medical Group Notice of Privacy Practices and is hereby incorporated and made a part of this Agreement.
Services Provided – No Medical Care or Advice by Maple
We offer an online communication platform for Providers and their patients to connect via the Site through the use of synchronous and asynchronous telecommunications technologies. The Site facilitates communication between patients and Providers.
Maple does not provide medical advice or care. Maple contracts with Maple Medical Group, an independent, physician-owned medical group with a network of United States based Providers who provide clinical telehealth services. Maple Medical Group Providers deliver clinical services via the Maple platform to their patients. Providers are independently contracted or employed by Maple Medical Group. Providers are not contracted or employed by Maple. The Providers, and not Maple, are responsible for the quality and appropriateness of the care they render to you.
The Providers are independent of Maple and are merely using the Site as a way to communicate with you. Any information or advice received from a Provider comes from them alone, and not from Maple. Your interactions with the providers via the Site are not intended to take the place of your relationship with your regular health care practitioners or primary care physician. Neither Maple, nor any of its subsidiaries or affiliates or any third party who may promote the Site or Service or provide a link to the Service, shall be liable for any professional advice obtained from a Provider via the Site or Service, nor any information obtained on the Site. Maple does not recommend or endorse any specific Providers, tests, physicians, medications, products, or procedures. You acknowledge that your reliance on any Providers or information delivered by the Providers via the Site or Service is solely at your own risk and you assume full responsibility for all risks associated herewith.
Maple does not make any representations or warranties about the training or skill of any Providers who deliver services via the Site or Service. You will be provided with available Providers based solely on the information you submit to the Site. You are ultimately responsible for choosing your particular Provider.
The content of the Site and the Services, including without limitation, text, copy, audio, video, photographs, illustrations, graphics and other visuals, is for informational purposes only and does not constitute professional medical advice, diagnosis, treatment, or recommendations of any kind by Maple. You should always seek the advice of your qualified health care professionals with any questions or concerns you may have regarding your individual needs and any medical conditions. All information provided by Maple, or in connection with any communications supported by Maple, is intended to be for general information purposes only, and is in no way intended to create a provider-patient relationship as defined by state or federal law. While Maple facilitates your selection of, and communications with, Providers, Maple does not provide medical services, and the doctor-patient relationship is between you and the Maple Medical Group Provider you select.
Not for Emergencies
IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, YOU SHOULD DIAL “911” IMMEDIATELY.
Maple’s Site and Services are not for medical emergencies or urgent situations. You should not disregard or delay to seek medical advice based on anything that appears or does not appear on the Site. If you believe you have an emergency, call 9-1-1 immediately.
You should seek emergency help or follow up care when recommended by a Provider or when otherwise needed. You should continue to consult with your primary provider and other healthcare professionals as recommended. Always seek the advice of a physician or other qualified healthcare provider concerning questions you have regarding a medical condition and before stopping, starting, or modifying any treatment or modification.
Risks of Telehealth Services
By using the Services, you acknowledge the potential risks associated with telehealth services. These include but are not limited to the following: information transmitted may not be sufficient (e.g. poor resolution of images) to allow for appropriate medical or health care decision making by the Provider; delays in evaluation or treatment could occur due to failures of electronic equipment; a lack of access to your medical records may result in adverse drug interactions or allergic reactions or other judgment errors; although the electronic systems we use incorporate network and software security protocols to protect the privacy and security of health information, those protocols could fail causing a breach of privacy of your health information.
Prescription Policy
Neither Maple nor Maple Medical Group endorse any specific medication, pharmacy, or pharmacologic product. If a Provider prescribes a medication, he/she will limit supply based upon state regulations and will only prescribe a medication as determined in his/her own discretion and professional judgment. There is no guarantee a prescription will be written. Providers do not prescribe DEA controlled substances or scheduled medications, or certain other drugs which may be harmful because of their potential for abuse. Providers reserve the right to deny care for actual or potential misuse of the Services.
You agree that any prescriptions that you acquire from a Provider will be solely for your personal use. You agree to fully and carefully read all provided product information and labels and to contact a physician or pharmacist if you have any questions regarding the prescription. Maple and Maple Medical Group fully honor patient freedom of choice and, if you receive a prescription for a medication, you always have the option to instruct Maple Medical Group to transmit that prescription to the pharmacy of your choice.
Not an Insurance Product
Neither Maple nor Maple Medical Group are insurers. The Services are not insurance products, and the amounts you pay to Maple or Maple Medical Group are not insurance premiums. If you desire any type of health or other insurance, you will need to purchase such insurance separately.
Availability of Services
Maple and Maple Medical Group operate subject to state and federal regulations, and the Services may not be available in your state. You represent that you are not a person barred from enrolling for and/or receiving the Services under the laws of the United States or other applicable jurisdictions in which you may be located. Access to and use of the Site and/or the Services is limited exclusively to users located in States within the United States where the Services are available. Services are not available to users located outside the United States. Accessing the Site or Services from jurisdictions where content is illegal, or where we do not offer Services, is prohibited.
Eligibility; Site Access, Security and Restrictions; Passwords
In order to access the Site and the Services, you represent and warrant that you are older than 18 years old. You agree to fully, accurately, and truthfully create your Maple Account (“Account”), including but not limited to your name, mailing address, phone number, email address, and password, which become your Maple ID and credentials. The Maple ID and/or credentials are personal to you, and you are solely responsible for maintaining the confidentiality of your Maple ID and/or credentials, and for all activities that occur under such Maple ID and/or credentials. You agree to prohibit anyone else from using your Maple ID and/or credentials and agree to immediately notify Maple of any actual or suspected unauthorized use of your Maple ID and/or credentials or other security concerns of which you become aware. Your access to the Site may be revoked by Maple at any time with or without cause.
You are prohibited from violating or attempting to violate the security of the Site, including, without limitation, (a) accessing data not intended for such user or logging onto a server or an account which the user is not authorized to access; or (b) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; or (c) accessing or using the Site or any portion thereof without authorization, in violation of these Terms of Use or in violation of applicable law.
You may not use any scraper, crawler, spider, robot or other automated means of any kind to access or copy data on the Site, deep-link to any feature or content on the Site, bypass our robot exclusion headers or other measures we may use to prevent or restrict access to the Site. Violations of system or network security may result in civil or criminal liability. Maple will investigate occurrences that may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations. You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of this Site or any activity being conducted on this Site.
Electronic Communications
When you use the Site or Services, or send e-mails, messages, and other communications from your desktop or mobile device to us, you are communicating with us electronically. You consent to receive communications from us electronically. You agree that (a) all agreements and consents can be signed electronically and (b) all notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such notices and other communications be in writing. Maple and Maple Medical Group may contact you by telephone, mail, or email to verify your account information. Maple and Maple Medical Group may request further information from you and you agree to provide such further information to ensure that you have not fraudulently created your Account. If you do not provide this information in the manner requested within 14 days of the request, we reserve the right to suspend, discontinue, or deny your access to and use of the Site and the Services until you provide the information to us as requested.
Consent to Receive Calls and Text Messages
By providing your mobile number, you are agreeing to be contacted by or on behalf of Maple and Maple Medical Group at the mobile number you have provided, including calls and text messages, to receive informational, Product or Service related (e.g., progress tracking, refill reminders, checkup reminders, etc.) and marketing communications relating to the Site and Services. Message and data rates may apply. For help, text the word HELP to(647)-360-3334. To stop receiving text messages text the word STOP to (647)-360-3334. We may confirm your opt out by text message. If you subscribe to multiple types of text messages from us, we may unsubscribe you from the service that most recently sent you a message and/or respond to your STOP message by texting you a request to identify services you wish to stop. Keep in mind that if you stop receiving text messages from us you may not receive important and helpful information and reminders about your progress and treatment.

All pages within this Site and any material made available for download are the property of Maple, or its licensors or suppliers, as applicable. The Site is protected by United States and international copyright and trademark laws.
All rights not expressly granted to you in these Terms of Use are reserved and retained by Maple or its licensors, suppliers, publishers, rights holders, or other content providers. Neither the Site and Services, nor any part of the Site and Services, may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of Maple. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Maple without express written consent. You may not use any meta tags or any other “hidden text” utilizing Maple’s name or trademarks without the express written consent of Maple. You may not misuse the Site or Services. You may use the Site and Services only as permitted by law. The content of the Site, including without limitation the files, documents, text, photographs, images, audio, and video, and any materials accessed through or made available for use or download through this Site may not be copied, distributed, modified, reproduced, published or used, in whole or in part, except for purposes authorized or approved in writing by Maple. You may not frame or utilize framing techniques to enclose, or deep linking to, any name, trademarks, service marks, logo, content or other proprietary information (including; images, text, page layout, or form) of Maple without our express written consent.
No Users Under 18 Years Old
The Site and Services are only for users of the age of 18. If you are under the age of 18, please do not attempt to register with us at this Site or provide any personal information about yourself to us. If we learn that we have collected personal information from someone under the age of 18, we will promptly delete that information. Although Maple attempts to ensure the integrity and accurateness of the Site and Product descriptions, it makes no representations, warranties or guarantees whatsoever as to the correctness or accuracy of the Site, Product descriptions and other content on the Site. It is possible that the Site could include typographical errors, inaccuracies or other errors, and that unauthorized additions, deletions and alterations could be made to the Site by third parties. In the event that an inaccuracy arises, please inform Maple so that it can be corrected. If a Product described on our Site is not as described when you receive it, or the packaging on the Site does not match the product to receive, your sole remedy is to return it to us in unused and undamaged condition. Information contained on the Site may be changed or updated without notice. Additionally, Maple shall have no responsibility or liability for information or content posted to the Site from any non-Maple affiliated third party.
Maple and Maple Medical Group each reserves complete and sole discretion with respect to the operation of the Site and the Services. We may withdraw, suspend, or discontinue any functionality or feature of the Site or the Services among other things. We are not responsible for transmission errors, corruption, or compromise of information carried over local or interchange telecommunications carrier. We are not responsible for maintaining information arising from use of the Site or with respect to the Services. User Information
If you submit, upload, post or transmit any health information, medical history, conditions, problems, symptoms, personal information, consent forms, agreements, requests, comments, ideas, suggestions, information, files, videos, images or other materials to us or our Site (“User Information”), you agree not to provide any User Information that (1) is false, inaccurate, defamatory, abusive, libelous, unlawful, obscene, threatening, harassing, fraudulent, pornographic, or harmful, or that could encourage criminal or unethical behavior, (2) violates or infringes the privacy, copyright, trademark, trade dress, trade secrets or intellectual property rights of any person or entity, or (3) contains or transmits a virus or any other harmful component. Claims of Copyright Infringement
We disclaim any responsibility or liability for copyrighted materials posted on our site. If you believe that your work has been copied in a manner that constitutes copyright infringement, please follow the procedures set forth below.

With the exception of your electronic medical record, Maple and Maple Medical Group, as applicable, retain all right, title, and interest in and to the Site, the Services and any information, products, documentation, software, or other materials on the Site, and any patent, copyright, trade secret, trademark, service mark, or other intellectual property, or proprietary right in any of the foregoing, except for information on the Site licensed by Maple or Maple Medical Group (in that case, the license provider retains all right, title, and interest therein). The information available through the Site and the Services is the property of Maple or Maple Medical Group, as applicable. You agree not to store, copy, modify, reproduce, retransmit, distribute, disseminate, rent, lease, loan, sell, publish, broadcast, display, or circulate such information to anyone. Use, reproduction, copying, or redistribution of Maple or Maple Medical Group trademarks, service marks, and logos are strictly prohibited without the prior written permission of Maple or Maple Medical Group, as applicable. The immediately foregoing sentence also applies to any third party trademarks, service marks, and logos posted on the Site. Nothing contained on the Site should be construed as granting, by implication, estoppel, waiver or otherwise, any license or right to use any trademarks, service marks or logos displayed on the Site without the written grant thereof by Maple, Maple Medical Group or the third party owner of such trademarks, service marks, and/or logos. Maple may delete any information provided by you that it deems in its sole discretion fraudulent, abusive, defamatory, obscene, or in violation of copyright, trademark, or other intellectual property or ownership right of any other person or entity.

MAPLE DOES NOT WARRANT THAT ACCESS TO OR USE OF THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT DEFECTS IN THE SITE WILL BE CORRECTED. Unless expressly stated in the Terms of Use to the contrary, nothing herein is intended to confer any rights or remedies on any persons other than you, Maple, Maple Medical Group, and its affiliates. Nothing in the Terms of Use is intended to relieve or discharge the obligation or liability of any third persons to you, Maple, Maple Medical Group, and its affiliates, nor shall any provision give any third parties any right of subrogation or action over against you, Maple, Maple Medical Group, and its affiliates.

You may not assign, transfer, or delegate the Terms of Use or any part thereof without Maple’s prior written consent. Maple may freely transfer, assign, or delegate all or any part of the Terms of Use, and any rights or duties hereunder or thereunder. The Terms of Use will be binding upon and inure to the benefit of the heirs, successors, and permitted assignees of the parties.
Supplemental Terms Applicable to Providers
These supplemental terms apply to Providers in addition the other provisions of these Terms of Use. In the event of a conflict between the supplemental terms and any other terms herein, the supplemental terms shall prevail.
To be a healthcare provider using the Site (“Provider” or “you”) you must be a licensed physician, nurse practitioner, or healthcare professional contracted or employed by Maple Medical Group, and must agree to comply with all laws, medical board rules and other rules and regulations applicable to you as a Provider or otherwise. Your relationship with the Maple users (including your Maple Medical Group patients) is directly between you and the patient. The patient will never have a physician-patient relationship with Maple. Maple does not practice medicine and offers no medical services. As set forth more fully below, Provider is solely responsible for all agreements, consents, notices and other interactions with patients and other consumers. Without limiting the generality of the foregoing, Provider and Maple Medical Group is solely responsible for all billings and collections from patients and other consumers, and Maple shall have no liability whatsoever to Provider with respect to any amounts owed by any patient or other consumer to Provider.
Maple does not provide any medical advice, legal advice, or representations in any way regarding any legal or medical issues associated with Provider, goods or services offered by Provider, including but not limited any compliance obligations or steps necessary to comply with any state or federal laws and regulations. Provider should seek legal counsel regarding any legal and compliance issues, and should not rely on any materials or content associated with the Services in determining Provider’s compliance obligations under law. Provider and Maple agree that Maple is not providing, to Customer or anyone else, medical advice or legal advice.
Provider will use the Site and Services only in accordance with applicable standards of good medical practice. While software products such as the Site and Services can facilitate and improve the quality of service that Provider can offer patients, many factors, including the provider/patient relationship can affect a patient outcome, and with intricate and interdependent technologies and complex decision-making it is often difficult or impossible to accurately determine what the factors were and in what proportion they affected an outcome. Provider shall be solely responsible for its use of the Site and Services, and the provision of medical services to Provider’s patients. In this regard, Provider releases Maple and waives any and all potential claims against Maple as a result of Provider’s use of the Site and Services, and the provision of services to Provider’s patients.
As a result of the complexities and uncertainties inherent in the patient care process, Provider agrees to defend, indemnify and hold Maple harmless from any claim by or on behalf of any patient of Provider, or by or on behalf of any other third party or person claiming damage by virtue of a familial or financial relationship with such a patient, which is brought against Maple, regardless of the cause if such claim arises for any reason whatsoever, out of Provider’s use or operation of the Site and Services. To the extent applicable, Provider will obtain Maple’s prior written consent to any settlement or judgment in which Provider agrees to any finding of fault of Maple or defect in the Site or Services. Maple will promptly notify Provider in writing of any claim subject to this indemnification, promptly provide Provider with the information reasonably required for the defense of the same, and grant to Provider exclusive control over its defense and settlement.
If you submit, upload, transmit, or post any consents, notices, advice, recommendations, comments, files, videos, images or other materials to us or our Site (“Provider Content”) or provide any Provider Content to patients or other consumers, you agree not to provide any Provider Content that (1) is defamatory, abusive, libelous, unlawful, obscene, threatening, harassing, fraudulent, pornographic, or harmful, or that could encourage criminal or unethical behavior, (2) violates or infringes the privacy, copyright, trademark, trade dress, trade secrets or intellectual property rights of any person or entity, or (3) contains or transmits a virus or any other harmful component. Provider is solely responsible for obtaining all necessary agreements and consents from, and providing all required notices to, patients and other consumers. You agree not to contact other users through unsolicited e-mail, telephone calls, mailings or any other method of communication. You represent and warrant to Maple that you have the legal right and authorization to upload all Provider Content at the Site. Maple shall have a royalty-free, irrevocable, transferable right and license to use the Provider Content however Maple desires, including without limitation, to copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from and/or sell and/or distribute such Provider Content and/or incorporate such Provider Content into any form, medium or technology throughout the world. Maple is and shall be under no obligation (1) to maintain any Provider Content in confidence; (2) to pay to you any compensation for any Provider Content; or (3) to respond to any Provider Content.
Maple does not regularly review Provider Content, but does reserve the right (but not the obligation) to monitor and edit or remove any Provider Content submitted to the Site. You grant Maple the right to use the name that you submit in connection with any Provider Content. You agree not to use a false email address, impersonate any person or entity, or otherwise mislead as to the origin of any Provider Content. You are and shall remain solely responsible for the content of any Provider Content you post to the Site or provide to patients or other consumers. Maple and its affiliates take no responsibility and assume no liability for any Provider Content submitted by you or any third party.
Dispute Resolution; Arbitration Agreement
We will try work in good faith to resolve any issue you have with Site, including Products and Services ordered or purchased through the Site, if you bring that issue to the attention of our customer service department. However, we realize that there may be rare cases where we may not be able to resolve an issue to a customer’s satisfaction.
You and Maple agree that any dispute, claim or controversy arising out of or relating in any way to these Terms of Use or your use of the Site, including Products and Services ordered or purchased through the Site, shall be determined by binding arbitration instead of in courts of general jurisdiction. Arbitration is more informal than bringing a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, and is subject to very limited review by courts. Arbitration allows for more limited discovery than in court, however, we agree to cooperate with each other to agree to reasonable discovery in light of the issues involved and amount of the claim. Arbitrators can award the same damages and relief that a court can award, but in so doing, the arbitrator shall apply substantive law regarding damages as if the matter had been brought in court, including without limitation, the law on punitive damages as applied by the United States Supreme Court. You agree that, by agreeing to these Terms of Use, the U.S. Federal Arbitration Act governs the interpretation and enforcement of this provision, and that you and Maple are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of these Terms of Use and any other contractual relationship between you and Maple.
If you desire to assert a claim against Maple, and you therefore elect to seek arbitration, you must first send to Maple, by certified mail, a written notice of your claim (“Notice”). The Notice to Maple should be addressed to: 355 Adelaide Street West, Suite 100, Toronto, ON, Canada M5V 1S2 (“Notice Address”). If Maple desires to assert a claim against you and therefore elects to seek arbitration, it will send, by certified mail, a written Notice to the most recent address we have on file or otherwise in our records for you. A Notice, whether sent by you or by Maple, must (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought (“Demand”). If Maple and you do not reach an agreement to resolve the claim within 30 days after the Notice is received, you or Maple may commence an arbitration proceeding or file a claim in small claims court. During the arbitration, the amount of any settlement offer made by Maple or you shall not be disclosed to the arbitrator. You may download or copy a form Notice and a form to initiate arbitration from the American Arbitration Association at www.adr.org. If you are required to pay a filing fee, after Maple receives notice at the Notice Address that you have commenced arbitration, it will promptly reimburse you for your payment of the filing fee, unless your claim is for more than US $10,000. The arbitration will be governed by the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (collectively, “AAA Rules”) of the American Arbitration Association (“AAA”), as modified by these Terms of Use, and will be administered by the AAA. The AAA Rules and Forms are available online at www.adr.org, by calling the AAA at 1-800-778-7879, or by requesting them from us by writing to us at the Notice Address. The arbitrator is bound by the terms of these Terms of Use. All issues are for the arbitrator to decide, including issues relating to the scope and enforceability of these Terms of Use, including this arbitration agreement. Unless Maple and you agree otherwise, any arbitration hearings will take place in the county (or parish) of your billing address. (If you reside outside of the United States, any arbitration hearings will take place in your country of residence at a location reasonably convenient to you, but will remain subject to the AAA Rules including the AAA rules regarding the selection of an arbitrator). If your claim is for US $10,000 or less, we agree that you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephonic hearing, or by an in-person hearing as established by the AAA Rules. If your claim exceeds US $10,000, the right to a hearing will be determined by the AAA Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the award is based. If the arbitrator issues you an award that is greater than the value of Maple’s last written settlement offer made before an arbitrator was selected (or if Maple did not make a settlement offer before an arbitrator was selected), then Maple will pay you the amount of the award or US $1,000, whichever is greater. Except as expressly set forth herein, the payment of all filing, administration and arbitrator fees will be governed by the AAA Rules. Each party shall pay for its own costs and attorneys’ fees, if any. However, if any party prevails on a statutory claim that affords the prevailing party attorneys’ fees, or if there is a written agreement providing for payment or recovery attorneys’ fees, the arbitrator may award reasonable fees to the prevailing party, under the standards for fee shifting provided by law.
YOU AND MAPLE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Maple agree otherwise, the arbitrator may not consolidate more than one person’s claims with your claims, and may not otherwise preside over any form of a representative or class proceeding. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim.
If this Agreement to Arbitrate provision is found to be unenforceable, then (a) the entirety of this arbitration provision shall be null and void, but the remaining provisions of these Terms of Use shall remain in full force and effect; and (b) exclusive jurisdiction and venue for any claims will be in state or federal courts located in and for Hillsborough County, Florida.
Force Majeure
We will not be deemed to be in breach of these terms or liable for any breach of these terms or our privacy policy due to any event or occurrence beyond our reasonable control, including without limitation, acts of God, terrorism, war, invasion, failures of any public networks, electrical shortages, earthquakes or floods, civil disorder, strikes, fire or other disaster.
Indemnification
You agree to defend, indemnify, and hold harmless Maple, Maple Medical Group, and any affiliates from and against any and all rights, demands, losses, liabilities, damages, claims, causes of action, actions, and suits (no matter whether at law or equity), fees, costs, and attorney’s fees of any kind whatsoever arising directly or indirectly out of or in connection with: (i) your use or misuse of the Site, Products or Services or any information posted on the Site; (ii) your breach of the Terms of Use or Privacy Policy; (iii) the content or subject matter of any information you provide to Maple, Maple Medical Group, or any Provider or customer service agent; and/or (iv) any negligent or wrongful act or omission by you in your use or misuse of the Site, Products or Services or any information on the Site, including without limitation, infringement of third party intellectual property rights, privacy rights, or negligent or wrongful conduct.
Revisions; General
Maple reserves the right, in its sole discretion, to terminate your access to all or part of this Site, with or without cause, and with or without notice. Maple reserves the right to modify these Terms of Use at any time, effective upon posting. Any use of this website after such changes will be deemed an acceptance of those changes. You agree to review the Terms of Use each time you access this website so that you may be aware of any changes to these Terms. In the event that any of the Terms of Use are held by a court or other tribunal of competent jurisdiction to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that these Terms of Use shall otherwise remain in full force and effect. These Terms of Use constitute the entire agreement between Maple and you pertaining to the subject matter hereof. In its sole discretion, Maple may from time-to-time revise these Terms of Use by updating this posting. You should, therefore, periodically visit this page to review the current Terms of Use, so you are aware of any such revisions to which you are bound. Certain provisions of these Terms of Use may be superseded by expressly designated legal notices or terms located on particular pages within this Site.

Policy
Maple Corporation (“Maple”, “we”, “us”) last updated this Privacy Policy (“Policy”) on September 23, 2021. We post the current version of the Policy at www.getmaple.ca/privacy. We reserve the right to amend the Policy at any time to account for changes in Applicable Law, our practices and the Maple Platform. Please check to see if we have amended the Policy since you last used the Maple Platform to ensure you are aware of (and agree to) our current privacy practices.
Definitions
The following provides the meaning of certain terms used in this Policy. If not defined below, the capitalized words and phrases in this Policy have the same meaning as in Maple’s Terms of Use. “Maple Platform” means collectively the hardware, software, applications, websites, Content, products and services owned and/or operated by us to enable the provision of remote Healthcare Services to Users, among other purposes. “Information” means collectively “Personal Information” (information about an identifiable User as further defined in Applicable Law) and “Personal Health Information” or “PHI” (information about a User’s health or healthcare as further defined in Applicable Law). A “User” is an individual registered to use the Maple Platform, including unless otherwise specified, as part of a customized program provided by a third party. A “PCH User” is a User also registered to use Loblaw’s PC Health application. Unless we make a distinction, “Users” means all Users. Health professionals (“Authorized Providers“) are collectively, “Authorized Physicians” (physicians registered to practice medicine in a province or territory of Canada) and “Authorized Non-Physician Providers” (regulated health professionals other than physicians registered to practice in a province or territory of Canada) registered to use the Maple Platform to provide “Healthcare Services” (services in the Authorized Provider’s scope of practice). Authorized Providers provide Healthcare Services in a “Consultation” which includes a review by an Authorized Provider to determine if the requested Healthcare Services are able to be provided on the Maple Platform. “Applicable Law” in relation to Maple, Authorized Providers or Users, means the laws and regulations including privacy laws and regulations to which each is subject. “Content” means general information about health related topics posted on the Maple Platform, access to which is not the delivery of healthcare services (including diagnosis, care or treatment), does not replace and cannot be relied upon as healthcare services.
Agreement with Maple
If you are an Authorized Provider, your arrangement with Maple – your rights and obligations and those of Maple – is set out in the agreement between you and Maple or, if you are providing Healthcare Services on behalf of a third party organization that has contracted with Maple, in the agreement between you and the third party organization with which you are associated. If you are a User, the arrangement between you and Maple – your rights and obligations and those of Maple – is set out in Terms of Use and where applicable, supplementary Terms. The Terms of Use for PCH Users may differ from those for other Users to take into account supplementary Terms for use of the PC Health application.
Application of this Policy
This Policy describes Maple’s management of Information, including the purposes for which we collect, use and disclose Information and the safeguards we use to protect Information. This Policy does not apply to the collection, use, retention, disposal, destruction, and protection of Information by Authorized Providers through the Maple Platform, which is part of the Authorized Provider’s records. The Maple Platform is a tool used by Authorized Providers that does not alter their obligations or responsibility for Information they collect. Authorized Providers are subject to privacy legislation and professional requirements that govern their record keeping and management of Information, regardless of the tools they use to collect, use, disclose and hold the Information. Please direct any questions you have about how an Authorized Provider will treat your Information to the Authorized Provider.
Overview of the Maple Platform
As mentioned, Authorized Providers are responsible for their collection, use, disclosure, retention, destruction and protection of Information. The following is an overview of how the Maple Platform functions and may not apply to any particular Authorized Provider or particular Consultation.
- Healthcare Services. Authorized Providers collect Information about you (or any Registered Dependent, as defined below), that you provide during a Consultation, verbally or in texts, including Information that you enter or upload to the Maple Platform. Authorized Providers have access to Information through the Maple Platform that includes: the details that you provide in your consultation request; information you’ve entered or uploaded to profiles and medical records; information created during earlier interactions through the Maple Platform with other Authorized Providers; the name, email address, phone number, gender, date of birth and province/territory that you provided when you registered; and your emergency contact’s name and contact information. Authorized Providers use Information to provide you with Healthcare Services and, as noted above, must comply with the privacy legislation and medical record-keeping obligations to which they are subject. Authorized Providers may create Information in the Maple Platform, such as prescriptions, sick notes and notes about your Consultation. They may export or print copies of your Information. Authorized Providers may, but are not required to, email or text your emergency contact if they believe that you are presenting with a healthcare emergency. You are responsible for advising your emergency contact that you are providing his or her name and contact information to Maple and Authorized Providers, and for obtaining any necessary consent from your contact for the provision and use of that information in connection with the Maple Platform.
- Other Services. Maple provides services that support the provision of Healthcare Services, which may include receiving, reviewing and scanning or otherwise uploading laboratory test results to the Maple Platform, faxing prescriptions to pharmacies, and obtaining referrals for consultations with certain specialists, collecting information (such as that in referral letters and health card numbers) required for scheduled appointments. Maple provides some of these services to Authorized Providers (for example, the receipt and preliminary review of laboratory results), or Users (for example faxing prescriptions and arranging referral to specialists). These services require the use of Information.
- Maple may expand the services available through the Maple Platform from time to time to include services that are healthcare related but not Healthcare Services (such as navigational services to assist you to access Healthcare Services on the Maple Platform). Unless otherwise advised, Maple Personnel will deliver these services. Maple Personnel receive privacy and security training and commit to complying with Maple’s obligations in connection with Information to the extent applicable to their role, as more particularly described below in the section on Safeguarding Information.
Maple’s collection and use of Information
Maple collects and uses Information to the extent necessary to develop, evaluate, improve and provide the Maple Platform and related services. We do not collect or use Information if non-identifying information will suffice. We do not record the audio or video portions of Consultations. More specifically:
- Collection. We collect and use your Information to register you, create your User account (“Account”), authenticate you when you log in, and personalize your experience while using the Maple Platform. We use the place of residence and date of birth that you provide when registering for an Account to confirm your eligibility to use the Maple Platform.
- When required for access to services insured by provincial health plans, we collect your provincial health number on behalf of the Authorized Provider providing the insured services to you and use and disclose the number to bill provincial health plans for insured services.
- If you are legally authorized to make healthcare decisions for an individual (a child or a parent for example), you may create a profile for them by providing their first and last name, gender and date of birth (each such person a “Registered Dependent”). We use the date of birth and your assertion of their relationship with you to confirm your eligibility to obtain Healthcare Services for Registered Dependents and their eligibility to receive Healthcare Services.
- Use for Storage. If you choose to enter, upload and store your Information or that of Registered Dependents in the Maple Platform, such as medical records or the name and contact information for an emergency contact, we will use Information as required maintain it on the Maple Platform.
- Use for Services, Operation and Development of Maple Platform. We use Information that you upload, or which an Authorized Provider creates as part of a Consultation to make it available to you when you access your Account.
- We use Information to provide you with services that you request us to perform on your behalf, such as securely faxing your prescription to your chosen pharmacy.
- We use Information to notify you by text or email about services that you request, such as to notify you about the status of a Consultation or prescription order.
- We use Information to the extent required to operate, deliver and support the Maple Platform.
- We may use Information for loss prevention, anti-fraud purposes, and to comply with regulatory and legal requirements.
- We may use Information to help us create, develop, evaluate, and improve the Maple Platform and Content.
- Use to Determine Eligibility for Healthcare Services, Authentication. In connection with a request for Healthcare Services, you may provide the reason for your request (symptoms, prescription renewal or sick note). We pass along the Information you provide, your age and gender (and for certain Consultations including those booked rather than provided on demand your name) to an Authorized Provider to determine whether your request is for Healthcare Services that an Authorized Provider may deliver remotely through the Maple Platform. If the Authorized Provider confirms that your request is eligible, we identify the Authorized Provider to you and forward the Authorized Provider the Information you provided in your request, your name and where applicable, the name of your Registered Dependent. Unless you have elected to withhold access to information held in the Maple Platform about you (or your Registered Dependent), the Authorized Provider will be able to view the Information in addition to the Consultation specific Information we forward.
- We may collect and use location data through GPS technology and your IP address where applicable to services you have requested, for example to ensure that we connect you to an Authorized Provider or pharmacy that is licensed or authorized to provide services in the jurisdiction where you are located.
- We use your IP address for security purposes, to authenticate you before providing information about your Account activity in your Account settings.
- Medical emergencies. If you submit Information in connection with a request for Consultation that in the view of the reviewing Authorized Provider indicates that you are in need of emergency services, Maple reserves the right to use any of the contact information you have provided to contact you. The contact will be strictly to inform you that an Authorized Provider has viewed and declined your request for a Consultation because your symptoms suggest a healthcare emergency.
- Essential and Non-Essential Communications. From time to time, we may send Users service announcements, including information about our latest products, updates to our policies, Terms of Use and software (“Essential Communications“). We may send Users who opt-in to receive the information, information such as newsletters, or information about any upcoming events that we believe may be of interest or apply to them (“Non-Essential Communications“). Users may opt-out of receiving Non-Essential Communications at any time by logging into their User Account and updating their preferences. For clarity, service announcements including updates to our policies, Terms of Use and software are Essential Communications not subject to an opt-out.
Third party service providers
Maple uses third-party software and service providers for a variety of services including but not limited to technical, operational and other business, and marketing services. For example, our live User support chat (Users may get troubleshooting and related technical assistance but not Healthcare Services through the chat function) is provided through a third party service provider. We require our third party service providers to limit their use of Information (that you or we provide or allow them to access) to that necessary for their services, and to have security measures in place that are appropriate for the protection of Information. Some of our service providers operate from outside of Canada, which means that Information they use on our behalf for their services may be subject to the law of country or state in which they operate (“Country“) including lawful orders to produce the Information to among others, the government of the Country, its law enforcement and other agencies including where applicable national security authorities, and courts.

Third party payers
As described in the Maple Platform Terms of Use, by authorizing someone else (a “Third Party Payer”) to pay the Fees and/or Membership Fees for your Healthcare Services, you are representing to Maple, and Maple will rely on your representation, that you consent to Maple:
- using the email address provided to us by the Third Party Payer to communicate with you regarding the Maple Platform and Healthcare Services;
- disclosing the information that you have requested Healthcare Services to the Third Party Payer to permit Maple to process payment for the Healthcare Services; and
- notifying the Third Party Payer of any changes or termination of your access to the Maple Platform.

Maple’s disclosure of Information
Emergency contacts, on consent. We disclose Information to emergency contacts as described above and for purposes for which we have User consent, including consent to disclose Information to an insurer or other Third Party Payer.
Compliance, Fraud Prevention. We disclose Information to the extent we, in our good faith judgment, are required to do so to comply with Applicable Law including to respond to a subpoena, order, or similar obligation to produce information, establish or exercise Maple’s legal rights including defend against legal claims, detect, investigate, suppress, prevent or take action regarding illegal or prohibited activities, including without limitation suspected fraud and threats to the reputation or safety of any person.
Business transactions. We may disclose Information for the purposes of conducting required due diligence or the completion of a business transaction such as a merger, acquisition or asset sale. We will comply with any applicable legal requirements, including agreements and notice requirements that apply to the disclosure of Information for such transactions.
Maple’s retention/deletion of Information
Unless we notify you otherwise, we will retain your Information on the Maple Platform until you (or Maple) close your Account. On termination, Maple will provide you an opportunity to print or copy your Information with the exception of notes of Authorized Providers. To allow Authorized Providers to exercise any right they have at law to withhold Information they create, only Authorized Providers may provide access to their notes on the Maple Platform, and any request for access should be made directly to them.
After the grace period provided for you to print or copy your Information (with the limitation described above), we will delete the Information associated with your Account, except for any Information that Maple is required to retain under Applicable Law or Information required by an Authorized Provider in connection with Healthcare Services. Maple will delete the latter once the Authorized Provider makes a copy or terminates his or her account with Maple. When Information is deleted, it is removed from our active database. Any Information that remains in our backup is securely stored and isolated from any further processing until deletion is possible.
Accessing and correcting Information
You can access your Information or that of Registered Dependents by logging in to your Account at https://app.getmaple.ca/login.
You may update or otherwise correct your Information, except Information an Authorized Provider has viewed or created. To update or correct Information an Authorized Provider has viewed, or request a correction of Information an Authorized Provider created, you will need to contact the Authorized Provider outside of the Maple Platform.
Privacy Settings
The Maple Platform offers you functionality and choices for protecting your privacy, which include:
- You may enable two-factor authentication on your Account to help prevent unauthorized access. If you do, in addition to entering your password to log in to your Account, we will send a code to your mobile number, which you will need to enter. This added security means that a third party would need both your login information and your mobile phone to access your Account.
- You have the option of using audio, chat, or video for Consultations.
- When requesting a Consultation, you may withhold Information, for example in your healthcare records from the Authorized Provider. Please be aware that Authorized Providers may be unable to provide you with Healthcare Services as a result. They will advise you of the implications of your choice.
- You may choose whether to receive communications by email or SMS.
- You can check your login history when you access the Maple Platform.

Safeguarding Information
We only permit Maple personnel (“Personnel” which includes our employees, contractors and subcontractors) to access Information to the extent necessary to perform their designated functions. We require Personnel to complete privacy and security training and to commit to protecting Information by complying with our policies, procedures and Applicable Law.
We store your information in electronic format within Canada, using computer systems with restricted access and housed in facilities using physical security measures.
More generally, we have in place appropriate physical, technological, and organizational safeguards including access controls to protect Information against loss, theft, and unauthorized access, use and disclosure. Notwithstanding the safeguards we employ and our commitment to protecting Information, we cannot guarantee the security or error-free transmission or storage of Information. There are risks inherent in the use of electronic means to transmit and hold information in electronic format. These risks can be minimized but not eliminated by the use of appropriate security measures, such as the measures Maple employs. These risks include interception, loss, corruption, unauthorized access to, use and disclosure of Information, and delay in the availability of Information.
You play an important role in protecting your privacy and your Information and for that purpose, we ask you to do the following.
- Create a strong and unique password for your Account using Maple’s password strength estimator and update your password periodically.
- Do not share your Account or password with anyone. We will never ask you for your password, including in any unsolicited communication such as letters, phone calls or email messages, so please do not provide it and contact us if you receive such a request.
- Log out of your Account as soon as you finish using it, especially if you share the device you use to access the Maple Platform with anyone else.
- Password-protect your device with a strong and unique password.
- Choose a quiet, private location from which to receive Healthcare Services.
Maple’s use of de-identified Data
Maple obtains the authorization of Authorized Providers to collect from them and use data created by de-identifying Information so that it no longer identifies a User (“Data“). Maple may use Data for monitoring the compliance of Users and Authorized Providers with the Maple Platform terms of use, for making use of the Maple Platform (and more generally of patient-initiated telehealth services) more accessible and enhancing the experience for Users and Authorized Providers through analyzing Authorized Provider usage and utilization patterns, and designing surveys (to be posted and completed at the discretion of Users). We may also use or disclose Data for the purposes of academic research. We will not use Data to re-identify Users or for any other purpose prohibited by Applicable Law. We will only de-identify Information in a manner that complies with Applicable Law.
Cookies and similar technologies
The Maple Platform, email messages, and marketing materials use “cookies” and other technologies such as pixel tags and web beacons. We use these technologies to better understand the use of the Maple Platform, analyze trends, and administer, personalize and improve the experience of using the Maple Platform for Users and Authorized Providers. Privacy Policy
The Maple Privacy Policy was updated on February 21, 2020. The words and phrases used in this Policy have the same meaning as in Maple’s Terms of Use. You can also find a list of definitions at the bottom of this Policy or if you still have questions, contact our Chief Compliance Officer as indicated below.
Maple Corporation (“Maple”, “we”, “us”) uses a number of safeguards to protect the privacy of Users of the Maple Platform and the confidentiality of their Personal Information including Personal Health Information (collectively referred to together in this Privacy Policy as “Information”). When discussing Healthcare Services, Information typically refers to Personal Health Information (“PHI”), and when discussing Informational Services, Information typically refers to information that is not specifically about you or your health, such as information in questions you would be comfortable asking of an expert during the call-in portion of a radio broadcast on health-related matters. PHI is not required for Informational services, and we advise you to not to submit PHI in the course of accessing Informational Services.
The agreement between Maple and physicians providing services through the Maple Platform, (Maple Physician Services Agreement) and the Terms of Use for the Maple Platform explain the services that Maple provides to Authorized Physicians and to Users respectively. The agreement between Maple and Non-Physician Providers providing services through the Maple Platform, (e.g. Maple Therapist Services Agreement) explain the services that Maple provides to Authorized Non-Physician Providers.
This Privacy Policy (“Policy”) summarizes how Maple collects, uses, discloses, retains, disposes of, destroys and protects Information as well as Data (information that does not identify an individual) in the course of providing our services. We are committed to complying with this Policy and with applicable Provincial and Federal privacy legislation.
Note that this Policy does not apply to the collection, use, retention, disposal, destruction, and protection of Information by Authorized Physicians or Authorized Non-Physician Providers. Authorized Physicians and Authorized Non-Physician Providers are subject to privacy legislation and professional requirements that govern their management of Information, including Information they collect, use and retain in the course of providing services through the Maple Platform. Please feel free to ask any Authorized Physician or Authorized Non-Physician Provider to whom you are referred if you have questions about how he or she will treat your Information.
Collecting and using Information
Maple collects and uses Information only as necessary to provide our services, including to develop, assess, and improve our services. We only collect Personal Information if non-identifying information will not suffice. We minimize our collection and use of Information to what is needed for these purposes. For example, we do not record the audio or video portions of interactions between Users and Authorized Physicians and between Users and Authorized Non-Physician Providers through the Maple Platform.
As mentioned, Authorized Physicians and Authorized Non-Physician Providers are responsible for their collection, use, disclosure, retention, destruction and protection of Information. As a result, the following description is an overview only of the use generally made of Information for the purpose of providing services through the Maple Platform. A particular Authorized Physician or Authorized Non-Physician Providers may or may not chose to collect or use Information as described below in connection with a particular interaction with a User.
Healthcare Services
Authorized Physicians and Authorized Non-Physician Providers may collect Information about you or any Registered Dependent (as defined below) when you provide it during a Healthcare Services consultation (e.g., verbally or in texts), by viewing the Information that you have entered or uploaded to the Maple Platform and/or by creating or compiling Information in the Maple Platform. Information that will be available to Authorized Physicians and Authorized Non-Physician Providers includes: the details that you provide in your consultation request; information you’ve entered or uploaded to profiles and medical records; information created during earlier interactions through the Maple Platform with other Authorized Physicians and/or Authorized Non-Physician Providers; the name, email address, phone number, gender and date of birth and province/territory that you provided when you registered; and your emergency contact’s name and contact information. Authorized Physicians and Authorized Non-Physician Providers use Information to provide you with Healthcare Services and/or Informational Services and, as with any healthcare provider, must comply with the privacy legislation and medical record-keeping obligations to which they are subject. Authorized Physicians and Authorized Non-Physician Providers may create Information such as prescriptions, sick notes and other notes about your interaction with them through the Maple Platform. They may export or print copies of your Information that they collect. Authorized Physicians and Authorized Non-Physician Providers may, but are not required to email or text your emergency contact if they believe that you are dealing with a medical emergency during a consultation. You are responsible for advising your emergency contact that you are providing their name and contact information to Maple and Authorized Physicians and Authorized Non-Physician Providers, and for obtaining any necessary consent from them for the provision and use of their information in connection with the Maple Platform.
Informational Services
Authorized Physicians and Authorized Non-Physician Providers collect and use Information that you provide in the course of obtaining Informational Services, by viewing the information that you have entered or uploaded to the Maple Platform and by creating or compiling Information in the Maple Platform. The Information that they collect and use includes: the details that you provide in your request for Informational Services and information that you provided to register to use the Maple Platform (name, gender, date of birth and place of residence) to confirm your eligibility to receive Informational Services. Authorized Physicians and Authorized Non-Physician Providers are bound to comply with privacy legislation applicable to providers of Informational Services.
Provision of the Maple Platform
- We collect and use your Information to register you, create your User Account, authenticate you when you log in and personalize your experience while using the Maple Platform. We confirm your eligibility to use the Maple Platform for Healthcare Services and/or Informational Services by asking you to confirm your place of residence and date of birth that you provide when registering.
- We collect your provincial health card number in order to bill provincial health plans for those services that are eligible for coverage by provincial health plans.
- You may choose to enter or upload and store your Information in the Maple Platform such as your medical records, and the name and contact information for your emergency contact.
- When seeking Healthcare Services, you may also choose to enter or upload and store Information about individuals for whom you have the legal authority to make decisions regarding their healthcare and for whom you have created a profile by providing their first and last name, gender and date of birth (each a “Registered Dependent”). We use their date of birth where applicable and your assertion of their relationship with you to confirm your eligibility to obtain Healthcare Services for them, and their eligibility to receive Healthcare Services.
- We use Information that you enter, or upload, or which is created as part of an interaction with an Authorized Physician or Authorized Non-Physician Provider to make it available to you when you access your User Account.
- We may use Information for loss prevention and anti-fraud purposes, and to comply with regulatory and legal requirements.
- We may use Information to help us create, develop, operate, deliver, support and improve the Maple Platform, its content and advertising provided to you through it (Maple’s and third parties’) unless you have decided not to receive such advertising.
Users eligible for Healthcare Services:
- To request Healthcare Services, you select any applicable symptoms relevant to your request. You may also specify whether you’re seeking to renew a prescription or obtain a sick note. We facilitate your disclosure to the Authorized Physician or Authorized Non-Physician Provider of that information, along with age and gender to determine whether your request is eligible. We do not identify you, or, if applicable, the Registered Dependent for whom you’re seeking the Healthcare Services. Once the Authorized Physician or Authorized Non-Physician Provider confirms that your request is eligible, we identify the Authorized Physician or Authorized Non-Physician Provider to you. The Maple Platform presents to the Authorized Physician or Authorized Non-Physician Provider the Information you provided in your consultation request, your name and, if applicable, the name of the Registered Dependent for whom you’re seeking the consultation. Unless you have elected to withhold access to information held in the Maple Platform about you or any Registered Dependent, the Authorized Physician or Authorized Non-Physician Provider will be able to view it too.
- We use Information that you enter to provide you with services that you request us to perform on your behalf, e.g., securely faxing your prescription to your chosen pharmacy.
- We use your Information to text or email you to notify you about services that you request. For example, we notify you about the status of your consultations and other requests, such as prescription orders.
- We may collect location data through the use of GPS technology and your IP address where applicable to services you have requested, e.g., ensuring you are connected to an Authorized Physician or Authorized Non-Physician Provider or pharmacy that is licensed or authorized to provide such services in the jurisdiction where you are located. We also use your IP address for security purposes, e.g., presenting you with information about your account activity in your account settings.
Users eligible for Informational Services:
- When you request Informational Services, you select any topics for which you are seeking education. On your behalf, we present the information that you provide to an Authorized Physician or Authorized Non-Physician Provider to determine whether your request is eligible for Informational Services. We do not identify you. Once the Authorized Physician or Authorized Non-Physician Provider confirms that your request is eligible, we identify the Authorized Physician or Authorized Non-Physician Provider to you. The Maple Platform presents to the Authorized Physician or Authorized Non-Physician Providers the Information you provided in your request for Informational Services and your name.
- We use your Information to text or email you to notify you about services that you request, for example, about the status of your request for Informational Services.
- We may collect location data through the use of GPS technology and your IP address to support you in receiving services, e.g., ensuring you are connected to an Authorized Physician or Authorized Non-Physician Provider who is authorized to provide such services in the jurisdiction where you are located. We also use your IP address for security purposes, e.g., presenting you with information about your account activity in your account settings.
Communicating with you
- Medical emergencies associated with requests for Healthcare Services. Should you submit Information about a medical issue, which is deemed an emergency by an Authorized Physician or an Authorized Non-Physician Provider prior to their acceptance of your request for Healthcare Services, Maple reserves the right to contact you at any time using any of the contact information you have provided. This contact is strictly for the purpose of informing you that an Authorized Physician or Authorized Non-Physician Provider has viewed your anonymized request and has declined the request based on their belief that your symptoms may represent a medical emergency.
- Updates and marketing. From time to time, we may send you service announcements, including policy updates and updates to our Terms of Use and software and keep you posted on our latest products and any upcoming events that may be of interest to you or apply to you. You may opt-out of receiving non-essential communications by logging in to your User Account and updating your preferences. For clarity, service announcements including updates to our policies and Terms of Use and software are not considered non-essential communications.
- Customer support. If you email, fax, write to us or complete a ‘contact us’ form on the Maple Platform, we will collect the name and contact information that you provide to us and will use it to respond to you.
We only permit our Personnel to access Information to the extent necessary to perform their designated functions. We require them to protect the Information and maintain its confidentiality by complying with our policies, procedures and applicable law.
Disclosing Information
We will not disclose, share, sell or rent your Information with or to any third party (except to the extent we disclose to Authorized Physicians or Authorized Non-Physician Providers, emergency contacts and in compliance with regulatory and legal requirements as set out in this Policy), except with your consent, or to the extent necessary, in our good faith judgment, to: comply with applicable laws or regulations, respond to a subpoena, order, or similar obligation to produce information; establish or exercise Maple’s legal rights or defend against legal claims; or investigate, detect, suppress, prevent or take action regarding illegal or prohibited activities, suspected fraud, situations involving potential threats to the reputation or safety of any person. We may use or disclose your email address, but never PHI, information to market a product or service, either directly, or through a service provider or partner that performs services on our behalf.
We may disclose Information for the purposes of the due diligence required for or for the completion of a transaction such as a merger, acquisition or asset sale. We will comply with any applicable legal requirements, including notice requirements, that apply to such transactions.
Retaining and disposing of Information
Unless we otherwise give you notice, we will retain your Information on the Maple Platform on your behalf until such times as you or we terminate your User Account. On termination, you will have an opportunity to print or make copies of your Information subject to the following. To ensure that Authorized Physicians and Authorized Non-Physician Providers may exercise any authority they have to withhold Information they compile in connection with Healthcare Services from patients under the law, you will be required to request any access you would like to notes made by an Authorized Physician or an Authorized Non-Physician Provider about your consultation from the Authorized Physician or Authorized Non-Physician Provider. With the exception of residents of Prince Edward Island receiving Healthcare Services in Prince Edward Island, Maple is not the custodian of Information held on the Maple Platform; rather it holds Information on behalf of Users or Authorized Physicians and Authorized Non-Physician Providers. For residents of Prince Edward Island receiving Healthcare Services in Prince Edward Island, Maple is a custodian, as defined by the PEI Health Information Act. On termination of your User Account, once you have been given the opportunity to print or make copies of your Information, we will delete the Information associated with your User Account, except Information that an Authorized Physician or Authorized Non-Physician Provider advises us he or she requires in connection with a consultation or Informational Services the Authorized Physician or Authorized Non-Physician Provider provided. In such circumstances, Maple will destroy the Information when the Authorized Physician or Authorized Non-Physician Provider has obtained a copy or terminates his/her account with Maple.
Accessing and correcting Information
Healthcare Services
You can access your Information or that of your Registered Dependents to check that it is accurate, complete, and up to date by logging in to your User Account at https://app.getmaple.ca/login.
You may update and edit any of your Information except Information an Authorized Physician or Authorized Non-Physician Provider has viewed or created Information during a Healthcare Services consultation when you log in to your User Account. Contact the Authorized Physician or Authorized Non-Physician Provider who provided the Healthcare Services to access or request the correction of Information in their notes on the Maple Platform or that they hold in their medical records.
Informational Services
You can access Information you provided in your request(s) for Informational Services by logging in to your User Account at https://app.getmaple.ca/login.
Your choices
The Maple Platform offers you functionality and choices for protecting your privacy which include:
- You may enable two-factor authentication on your account to help ensure that only you can access your account. If you do, in addition to entering your password to log in to your account to access the Maple Platform, we will send a code to your mobile number, which you will need to enter. This added security prevents anyone else from accessing your Maple account unless they have access to your log in information and your mobile phone.
- You may choose whether to use audio, chat, or video for interactions with Authorized Physicians and Authorized Non-Physician Providers.
- When seeking Healthcare Services, you may withhold Information, e.g., consultation information and medical records from Authorized Physicians and/or Authorized Non-Physician Providers. Please be aware that Authorized Physicians and Authorized Non-Physician Providers may be unable to provide you with Healthcare Services as a result. They will advise you of the implications of your choice.
- When seeking Informational Services, any previous Information collected e.g., consultation information and records, will not be accessible by the Authorized Physician or Authorized Non-Physician Provider providing the services unless you specifically elect to provide access.
- You may choose whether to receive communications by email or SMS.
- You can check your log-in history when you access the Maple Platform.

Additionally, you may contact us at any time to: stop receiving e-mails or other correspondence from us, seek assistance with viewing and correcting Information, and close your User Account. You also play an important role in protecting your privacy and the confidentiality of your Information. For example:

Collecting, using and sharing Data
Maple de-identifies Information on behalf of Authorized Physicians and Authorized Non-Physician Providers. Under their agreement with Maple, Authorized Physicians and Authorized Non-Physician Providers permit Maple to collect and use the resulting de-identified data for purposes that include: quality control activities designed to ensure use of the Maple Platform in compliance with the Maple Physician Services Agreement, Authorized Non-Physician Provider Agreements such as the Maple Therapists Agreement, and the Terms of Use; improving the Maple Platform and more generally, the use of patient-initiated telemedicine services (through an understanding of usage and utilization patterns by Users and Authorized Physicians and Authorized Non-Physician Providers); conducting academic research and designing surveys (to be posted and completed at the discretion of Users). We will not use Data to re-identify individuals.

We use these technologies to better understand User behaviour, analyze trends, administer, personalize and improve the experience of using the Maple Platform. At times, we may use third parties such as ad exchanges and data companies to serve our advertisements on the Maple Platform. Definitions
- “Authorized Physician” means a physician who is registered to practice medicine in a Province or Territory of Canada, meets Maple’s other criteria, and is permitted to provide Healthcare Services and/or Informational Services through the Maple Platform.
- “Authorized Non-Physician Provider” means an independent, regulated health professional (such as a psychotherapist or a nurse) registered to provide healthcare in a Province or Territory of Canada, meets Maple’s other criteria, and is permitted to provide Healthcare Services and/or Informational Services through the Maple Platform.
- “Data” means information collected or compiled through the Maple Platform which has been de-identified.
- “De-identify” in relation to PHI, means to remove information that identifies the individual or for which it is reasonably foreseeable in the circumstances that it could be utilized, either alone or with other information, to identify the individual.
- “Device” means a mobile or desktop device owned or controlled by a User and used to access Maple Physician Services.
- “Health Care” means any observation, examination, assessment, care, service or procedure that is provided by a physician or a non-physician healthcare provider to an individual to diagnose, treat, or maintain the individual’s physical or mental condition, to prevent disease or injury to the individual, or to promote the individual’s health.
- “Healthcare Services” means the provision of Health Care by an Authorized Physician or an Authorized Non-Physician Provider through the Maple Platform.
- “Informational Services” means the provision of general information about a disease or condition, rather than patient specific medical information, for educational purposes only and for clarity, not including a diagnosis, treatment or advice based on observation, examination or assessment of a particular patient.
- “Maple Platform” means the hardware, software, applications, websites, content, products and services owned and/or operated by us, which include the software that enables Authorized Physicians and Authorized Non-Physician Providers to provide Healthcare Services and Informational Services to Authorized Users.
- “Personal Information” means information about an identifiable individual which is not PHI and which is collected, created, compiled, used, disclosed or otherwise transmitted and/or stored on or by means of the Maple Platform.
- “Personnel” in relation to Maple, means its employees and agents including independent contractors and sub-contractors, for whom Maple is responsible at law.
- “PHI” or “personal health information” means information about an individual’s health or healthcare that is subject to Privacy Law and that is collected, created, compiled, used, disclosed or otherwise transmitted and/or stored on or by means of the Maple Platform.
- “Privacy Law” means the applicable legislation governing the collection, use, disclosure, and/or protection of PHI in the Province or Territory in which a User resides.
- “User” means an individual who has registered and created a Maple User Account in accordance with our Terms of Use and is thereby eligible to receive Healthcare Services and/or Informational Services through the Maple Platform.
